• To the extent applicable, these Terms of Use and the terms of any Reflections of S.H.E., LLC-branded credit agreement you have or may use in connection with this Site are to coexist and be read consistently with one another. To the extent there is any conflict or inconsistency between the provisions of these Terms of Use and the provisions of any Reflections of S.H.E., LLC-branded credit agreement you have or use in connection with this Site, the provisions of the Reflections of S.H.E., LLC-branded credit agreement shall govern.

• Reflections of S.H.E., LLC reserves the right to update or modify these Terms of Use at any time without prior notice. Your use of this Site following any such change constitutes your agreement to follow and be bound by the Terms of Use as changed. For this reason, we encourage you to review these Terms of Use each time you use this Site.
   

Use of This Site

• By using this Site and accepting these Terms of Use, you certify that you are 18 years of age or older. Anyone under the age of 18 should not use this Site unless supervised by an adult who agrees to be bound by these Terms of Use and who agrees to be fully responsible for use of this Site, including all financial charges and legal liability that may be incurred.
  
  You agree that you are buying products for your own use and not for resale or export outside the United States. You may be required to register with Reflections of S.H.E., LLC in order to access certain services or areas of the Site. The user name and password for any account you establish with Reflections of S.H.E., LLC are for your personal use only. If you use the Site, you are responsible for maintaining the confidentiality of your account and password and for restricting access to your computer, and you agree to accept responsibility for all activities that occur under your account or password. All billing and registration information you provide on this Site must be truthful and accurate. Providing any untruthful or inaccurate information on this Site may constitute a breach of these Terms of Use. By confirming your purchases at the end of the checkout process, you are agreeing to accept and pay for the items purchased.
   

Copyrights and Other Intellectual Property

Idea Submissions

• Reflections of S.H.E., LLC is always pleased to hear from members of the Reflections of S.H.E., LLC community and welcomes your comments regarding Reflections of S.H.E., LLC’s products and services.
  
  If you send us an unsolicited suggestion, idea, proposal or other material (collectively, the “Submission”), Reflections of S.H.E., LLC will consider the Submission to be non-confidential and non-proprietary. Reflections of S.H.E., LLC shall have no obligations concerning the Submission, contractual or otherwise (including but not limited to an obligation to keep the Submission confidential), and shall not be liable for any use or disclosure of any Submission. Reflections of S.H.E., LLC shall be entitled to a non-exclusive license to use the Submission for any purpose whatsoever, commercial or otherwise, without compensation to you.
  
  If you send us, at our request, a comment or suggestion to improve this Site or add a new category or feature (for example through our social media networks, customer support web forms or otherwise) (collectively, the “Suggestion”), Reflections of S.H.E., LLC will consider the Suggestion to be non-confidential and non-proprietary. Reflections of S.H.E., LLC shall have no obligations concerning the Suggestion, contractual or otherwise (including but not limited to an obligation to keep the Suggestion confidential), and shall not be liable for any use or disclosure of any Suggestion. Reflections of S.H.E., LLC shall be entitled to a non-exclusive license to use the Suggestion for any purpose whatsoever, commercial or otherwise, without compensation to you.
   

User Generated Content

1. Generally
   Reflections of S.H.E., LLC may reach out to users to seek permission to feature their content on our various sites, social channels, and various promotional materials. This section of the Terms of Use describes the terms and conditions under which Reflections of S.H.E., LLC may use the content created and posted by you (“User Generated Content”), and as more specifically identified and described in the language Reflections of S.H.E., LLC sent you to request use of your User Generated Content.
    

2. This is a Binding Contract
   By replying/responding “yes” to the request to use your User Generated Content, you allow Reflections of S.H.E., LLC to use your User Generated Content, and you are entering an agreement with Reflections of S.H.E., LLC and agree to be bound by Reflections of S.H.E., LLC’s Privacy Policy and Terms of Use, without limitation or qualification. Reflections of S.H.E., LLC reserves the right to modify its Privacy Policy and Terms of Use by posting new versions thereof, as well as the right to provide additional notice of material changes, which modifications and changes will be effective immediately.
   
   Accordingly, you should review the Terms of Use each time you grant permission or authorization to feature your User Content.
   
   This section in no way limits or impacts the Limitation of Liability or Enforcement of Terms of Use detailed below.
    

3. License
   You hereby grant to Reflections of S.H.E., LLC and its related companies, agents, licensees, sublicensees, contractors, successors, legal representatives, assigns, and third-party service providers, and their respective retail partners, marketing or public relations agencies, and other affiliates (the “Licensed Parties”) a worldwide, perpetual, irrevocable, royalty-free, fully-paid, non-exclusive, transferable, sublicensable right to use, publish, broadcast, post online, and copyright your (i) name, voice, picture, portrait, and likeness (“Name” and/or “Likeness”) as such Name and/or Likeness appears in or in connection with your User Generated Content; and (ii) the User Generated Content in and in connection in any manner to be determined in the Licensed Parties’ sole discretion, including but not limited to on webpages and social media pages operated by the Licensed Parties, in promotional emails and advertisements, and in any and all other marketing, promotional and advertising initiatives, and in any media now or hereafter known. The Licensed Parties may modify the User Generated Content for formatting, navigational, integration or other purposes, but such modifications will not materially distort such User Generated Content.
   
   No advertisement, promotional media, or other material in any media containing your Name and/or Likeness related to the User Generated Content need be submitted to you for any further approval for use by the Licensed Parties, and the Licensed Parties shall be without liability to you for any distortion or illusionary effect resulting from the publication of your Name and/or Likeness.
   
   You hereby release, discharge and agree to hold the Licensed Parties, and any person acting on their behalf, harmless from any liability related in any way to the Licensed Parties’ use of your User Generated Content.
   
   The User Generated Content and any Name and/or Likeness that you submit is deemed non-confidential and the Licensed Parties have no obligation to maintain the confidentiality of any information, in whatever form, contained in any submission, except pursuant to the Licensed Parties’ respective privacy policies.
   
   By using this Site or the Services, you are consenting to the Licensed Parties’ collection of any personal information you provide for the Licensed Parties’ use and disclosure in connection with the use of your User Generated Content as described herein and in the Reflections of S.H.E., LLC Privacy Policy. If you do not agree to the collection, use and disclosure of your personal information in this way, please do not use this Site or the Services, otherwise provide the Licensed Parties with personal information, and please reply or answer “no” to the request from Reflections of S.H.E., LLC to use your content or via the platform on which your User Generated Content appeared. Your personal information may be transferred to servers located outside the country in which you live or to third parties in other countries so that they may process personal information on the Licensed Parties’ behalf. By using the Site or the Services or otherwise providing the Licensed Parties with personal information, you agree to the foregoing collection, use, disclosure, transfer and processing of your information in accordance with these Terms of Use, the Privacy Policy, and applicable data protection laws and regulations.
    

4. Your Representations
   You hereby agree, acknowledge, and warrant that:

   1. You are 18 years of age or older;

   2. You are solely responsible for your User Generated Content;

   3. You own all rights in and to your User Generated Content and/or have obtained appropriate rights and permissions from any and all other persons and/or entities who own, manage or otherwise claim any rights with respect to such User Generated Content;

   4. Reflections of S.H.E., LL’s and the Licensed Parties’ use of your User Content as described herein will not violate the rights, including but not limited to copyright, trademark, patent, trade secret; privacy, publicity, moral, proprietary or other rights, of any third party, or any law, rule or regulation; and

   5. The User Content is not libelous, defamatory, obscene, pornographic, abusive, indecent, threatening, harassing, hateful, or offensive or otherwise unlawful.
       

5. Miscellaneous
   You agree that if Reflections of S.H.E., LLC does not exercise or enforce any legal right or remedy which is contained in this section of the Terms of Use, (or which Reflections of S.H.E., LLC has the benefit of under any applicable law), this will not be taken to be a formal waiver of Reflections of S.H.E., LLC’s rights and that those rights or remedies will still be available.
   
   If any court of law, having the jurisdiction to decide on this matter, rules that any provision of these Terms of Use are invalid, then that provision will be removed without affecting the rest of the Terms of Use. The remaining provisions of these Terms of Use will continue to be valid and enforceable.

Customer Submitted Content

• You promise not to post, upload or transmit any unlawful, threatening, defamatory, libelous, obscene, pornographic or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense or give rise to civil liability, or otherwise violate any law. Reflections of S.H.E., LLC reserves the right to prevent or to remove any such content at its sole discretion.
   

Security

• You are prohibited from violating or attempting to violate the security of this Site, including, without limitation, accessing data or logging onto a server or account which you are not authorized to access; attempting to breach security or authentication measures and attempting to interfere with service to any user, host or network, including via means of introducing a virus to the Site, overloading or flooding, spamming, mail bombing or crashing.
  
  You agree not to use any device, software or routine to interfere or attempt to interfere with the proper working of this Site or any activity being conducted on this Site. You agree further not to use or attempt to use any engine, software, tool, agent or other device or mechanism to navigate or search this Site other than the search engines and search agents available from reflectionsofshe.org on this Site and other than generally available third party web browsers such as Internet Explorer, Firefox, Safari, etc.
  
  Violations of the security of this Site may result in civil or criminal liability. Reflections of S.H.E., LLC may cooperate with law enforcement authorities in prosecuting users who are involved in such violations.
   

Correction of Errors and Inaccuracies; Limitations on Quantity; Returns; Risk of Loss

• The information on this site may contain typographical errors or inaccuracies and may not be complete or current. As a result, we cannot and do not guarantee the accuracy or completeness of any information, including prices, product images, specifications, availability and services. We therefore reserve the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice (including after an order or shipping confirmation) and with no further obligations to you. We also reserve the right to limit quantities (including after you have submitted your order). In the event of an error, we reserve the right to refuse or cancel any orders placed for that item. We apologize for any inconvenience this may cause you. If you are not fully satisfied with your purchase you may return it in accordance with the terms of our Return Policy. The risk of loss and title to items purchased from Reflections of S.H.E., LLC pass to the purchaser upon our delivery to the carrier. 
  
  We do not offer additional discounts on large orders of a single item or on large orders of many individual items. In addition, we reserve the right to limit quantities on orders placed by the same account, on orders placed by the same credit card, and on orders that use the same billing or shipping address. We reserve the right to prohibit purchases of any merchandise to resellers. Resellers are defined as a company or an individual who purchases goods with the intention of selling them rather than using them.
   

Right to Terminate

• Reflections of S.H.E., LLC may limit, suspend, or terminate your account or discontinue your use of this Site if you violate these Terms of Use or if you use this Site in a way that causes legal liability to us or disrupts others’ use of this Site. Reflections of S.H.E., LLC may also limit, suspend, or terminate your account or discontinue your use of this Site at Reflections of S.H.E., LLC’s sole discretion.
   

Disputes

• Any and all claims or disputes relating in any way to your use past, present or future use of this Site, or to any products or services sold or distributed by Reflections of S.H.E., LLC through this Site, will be resolved by binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act and federal arbitration law apply to this agreement.
  
  For all claims or disputes, you must first give us an opportunity to resolve your claim by sending a written description of your claim to the following mailing address: 5557 Baltimore Avenue, Suite 500-1254, Hyattsville, MD, 20781. We each agree to negotiate with each other in good faith about your claim. If we do not resolve the claim within 60 days after we receive this claim description, you may pursue your claim in arbitration. You may pursue your claim in a court only under the circumstances described in the paragraph above.
  
  There is no judge or jury in arbitration, and court review of an arbitration award is limited. However, an arbitrator can award on an individual basis the same damages and relief as a court (including injunctive and declaratory relief or statutory damages), and must follow the terms of these Terms of Use as a court would.
  
  We each agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated or representative action. If for any reason a claim proceeds in court rather than in arbitration, we each waive any right to a jury trial. We also both agree that you or we may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

THIS ALLOCATION IS AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND REFLECTION OF SHE LLC. THE LIMITATIONS IN THIS SECTION WILL APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE(S).
   

ENFORCEMENT OF TERMS OF USE

• BY ACCESSING AND USING THE SITE, YOU AGREE THAT YOUR ACCESS TO AND USE OF THIS SITE IS SUBJECT TO THESE TERMS OF USE. No failure to exercise, partial exercise of or delay in exercising any right or remedy under these Terms of Use will operate as a waiver or estoppel of any right, remedy or condition. If any provision of these Terms of Use is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not be affected or impaired. Reflections of S.H.E., LLC will not be responsible for failure to fulfill any obligation due to causes beyond its control.
